Please read these Terms of Service ("Terms", "Terms of Service", "Agreement") carefully before using the CloudCost Sage website (cloudcostsage.com) and service (the "Service") operated by CloudCost Sage ("us", "we", or "our").
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.
1. Definitions
- "Service" means the CloudCost Sage cloud cost management platform and related services
- "User" or "You" means the individual or entity using the Service
- "Account" means your CloudCost Sage user account
- "Cloud Provider" means AWS, Azure, GCP, or other supported cloud platforms
- "Content" means data, text, software, scripts, graphics, and interactive features generated by or uploaded to the Service
2. Account Registration and Security
2.1 Account Creation
To use the Service, you must create an account by providing accurate, complete, and current information. You must be at least 18 years old to create an account.
2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Use a strong, unique password
- Not share your account credentials with others
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
2.3 Account Termination
You may terminate your account at any time through your account settings. We reserve the right to suspend or terminate accounts that violate these Terms.
3. Cloud Provider Access and Permissions
3.1 Read-Only Access
To provide the Service, you must grant us read-only access to your cloud provider accounts (AWS, Azure, GCP). This access allows us to:
- Retrieve cost and usage data
- Analyze resource configurations
- Generate optimization recommendations
- Monitor for cost anomalies
3.2 Your Responsibilities
You represent and warrant that you have the necessary rights and permissions to grant such access. You are responsible for:
- Ensuring compliance with your cloud provider's terms of service
- Maintaining appropriate IAM roles and permissions
- Reviewing and approving any automated actions before execution
- All costs incurred on your cloud provider accounts
3.3 Automated Actions
The Service may offer automated cost optimization actions. These actions will only be executed with your explicit approval. We are not responsible for any unintended consequences of actions you approve.
4. Subscription Plans and Billing
4.1 Subscription Tiers
We offer multiple subscription tiers (Free, Pro, Enterprise) with different features and limitations. Current pricing and features are available at cloudcostsage.com/pricing.
4.2 Billing
Paid subscriptions are billed monthly or annually in advance. You authorize us to charge your payment method for all fees incurred. Fees are non-refundable except as required by law.
4.3 Price Changes
We reserve the right to change our pricing with 30 days' notice. Price changes will not affect your current billing cycle.
4.4 Cancellation and Refunds
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months or unused features.
5. Data Privacy and Security
5.1 Data Collection
We collect and process data as described in our Privacy Policy. This includes cloud cost data, resource configurations, and usage patterns.
5.2 Data Security
We implement industry-standard security measures to protect your data, including:
- Encryption in transit (TLS 1.2+) and at rest (AES-256)
- Regular security audits and penetration testing
- Access controls and authentication (MFA available)
- Automated backup and disaster recovery
5.3 Data Retention
We retain your data for as long as your account is active and for 90 days after termination, unless otherwise required by law.
6. Acceptable Use Policy
You agree not to use the Service to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to our systems
- Reverse engineer or decompile the Service
- Use the Service for competitive analysis or benchmarking
- Resell or redistribute the Service without authorization
- Overload or interfere with the Service's operation
7. Intellectual Property Rights
7.1 Our IP
The Service and its original content, features, and functionality are and will remain the exclusive property of CloudCost Sage and its licensors. The Service is protected by copyright, trademark, and other laws.
7.2 Your Data
You retain all rights to your data. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service.
7.3 Feedback
Any feedback, suggestions, or ideas you provide become our property and may be used without compensation or attribution.
8. Service Level and Availability
8.1 Uptime
We strive to maintain 99.9% uptime for paid plans. Uptime excludes scheduled maintenance and events beyond our control.
8.2 Maintenance
We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice.
8.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.
9. Limitation of Liability
IMPORTANT: PLEASE READ THIS SECTION CAREFULLY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CLOUDCOST SAGE, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, use, goodwill, or other intangible losses
- Damages resulting from your access to or use of or inability to access or use the Service
- Damages resulting from any unauthorized access to or use of our servers and/or any personal information stored therein
- Damages resulting from any interruption or cessation of transmission to or from the Service
- Damages resulting from any bugs, viruses, trojan horses, or the like that may be transmitted through the Service by any third party
- Damages resulting from any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, timely, secure, or error-free
- Warranties regarding the accuracy or reliability of any information obtained through the Service
- Warranties that defects will be corrected
11. Indemnification
You agree to indemnify, defend, and hold harmless CloudCost Sage and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your cloud provider account activities
12. Termination
12.1 Termination by You
You may terminate your account at any time through your account settings or by contacting support.
12.2 Termination by Us
We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including:
- Breach of these Terms
- Non-payment of fees
- Fraudulent or illegal activity
- Violation of our Acceptable Use Policy
12.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. We will delete your data within 90 days unless retention is required by law.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
13.2 Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in court.
14. Changes to Terms
We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on our website
- Sending email notification to your registered email address
- Displaying a notice in the Service
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
15. Miscellaneous
15.1 Entire Agreement
These Terms constitute the entire agreement between you and CloudCost Sage regarding the Service.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
15.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
